1. Important Information and Acceptance of Terms

Welcome to Autonomous Minds! By accessing and using our platform, you acknowledge and agree to these Terms of Use (“Terms”), which govern your interaction with our AI-powered co-workers, including Milo. Your continued use of the platform signifies your acceptance of these Terms, which may be updated from time to time. These Terms are entered into by and between Autonomous Minds UAB, a company registered in Lithuania with registration number 306968601 (“Autonomous Minds,” “us,” “we,” or “our”), and any company, organisation, their users or any person who access, use, or subscribe to the Service (“you,” “your,” or “customer”). We will notify you 14 days in advance of any changes to these Terms. Your ongoing use after updates indicates your continued agreement.

2. Access to the Service

Platform Requirements: Accessing our services requires compatible devices, internet connectivity, and platform registration. You are responsible for ensuring your account and login details are secure.
Third-Party Access: Milo may operate within third-party environments, including communication and CRM tools, as determined by user integration. It is your responsibility to review your company’s policies and data protection rules before granting access to any third-party tools.

3. Service Overview

Autonomous Minds provides AI-driven co-workers like Milo to assist with administrative and management tasks. The quality of Milo’s output is influenced by several key factors, including:

Job Roles Unlocked: Milo’s capabilities expand based on the specific job roles that the customer enables.
Training Data Provided: The data input, including structured and unstructured data, and the guidance received from users, directly impact Milo’s functionality and effectiveness.
Goal-Based Learning: With every successfully executed goal, Milo becomes more capable, learning from each task to improve future performance, including gaining more autonomy as configured by the user.

Milo’s output, decisions, and tool execution rely on these inputs. Please note:

Goal-Driven Operations: Milo operates based on Goals. These goals can be set directly by the user or, depending on the level of autonomy granted to Milo, defined automatically based on triggers, such as requests received from third-party tools or external stakeholders.
Foundational AI Technologies: Milo uses foundational AI technologies, including Natural Language Processing, predictive machine learning, and Large Language Models (both commercial and open-source). The platform is designed to select and apply the most suitable technology dynamically, based on the specific goal being executed. Since these technologies are probabilistic in nature, output may vary, and users should perform a sanity check on all outputs to ensure accuracy and appropriateness.
Level of Autonomy and Oversight: Users recognize and accept that as Milo’s level of autonomy increases, the degree of direct human oversight and ability to intervene in real-time diminishes. The probabilistic nature of AI technologies inherently includes a certain failure rate, and users are reminded that outputs may not always be accurate or complete.
Third-Party Transactions: While Autonomous Minds supports third-party tools, we act solely as an intermediary in processing data, with no responsibility for third-party interactions.
Data and Privacy Limitations: You, as the user, are responsible for inputting sensitive information, ensuring that all data aligns with your company’s privacy requirements.
Feature Updates and Costs: We periodically introduce new features and enhancements to the platform. While some of these will be included in your subscription, others may come at additional costs, which will be communicated prior to activation.

4. Subscription and Fees

Fees: Subscription fees apply based on your chosen plan and will be billed according to your specified payment schedule.
AI Productivity Units (APUs): The execution of Goals and their underlying tasks by Milo consumes AI Productivity Units (APUs), with usage depending on the complexity of each goal. APUs are only deducted upon the execution of goals and tasks.
Taxes: Taxes may apply depending on the country of use. It is the customer’s responsibility to determine and pay any applicable taxes in accordance with their local tax laws.
Price Adjustments: Autonomous Minds reserves the right to change prices with prior notification. You will be informed 14 days before any price changes take effect.
Refund Policy: Refunds may be available based on applicable regional consumer rights. Any specific cooling-off period will apply to users in the EU.

5. User Obligations

Appropriate Use: You are responsible for using the platform in compliance with applicable regulations, including data protection policies. Any sensitive or personal information uploaded to the platform is your liability.
Security and Responsibility: It is your duty to ensure that any data provided is accurate, up-to-date, and compliant with relevant legal and internal company standards.
Prohibited Activities: Users are prohibited from activities such as reverse engineering, data scraping, or any attempts to alter the AI’s output for malicious purposes.

6. Integration and Third-Party Tools

Autonomous Minds supports integration with third-party tools to enhance Milo’s capabilities.

User Control and Responsibility: You determine which third-party tools Milo accesses and are responsible for overseeing all settings related to these integrations.
Data Protection: You are accountable for ensuring compliance with data protection requirements when enabling third-party access.
Liability Disclaimer: We are not liable for inaccuracies, malfunctions, or data protection violations resulting from third-party tools. Milo’s output will depend on the quality and accuracy of data provided through these external sources.

7. Data and Privacy

Data Ownership: Users retain ownership of all input data and are responsible for the legality, accuracy, and appropriateness of this data.
Limited License: By providing input data to Autonomous Minds, you grant us a limited license to process, anonymize, and analyze this data to improve service functionality.
Privacy Compliance: Users must ensure that any information added, shared, or processed aligns with company and industry data privacy standards, including GDPR, CCPA, or any applicable regional regulations.

8. Human x AI Contract and Human in The Loop

Milo’s level of autonomy is determined by the Human x AI Contract, configurable in the platform’s Settings section. This contract enables the user to control Milo’s autonomy across different areas, including settings for Human in The Loop—which allows users to specify tasks that must receive human approval before execution. Users are responsible for reviewing these settings and aligning them with existing company policies, including data protection requirements, to ensure Milo’s operations comply with organizational standards.

9. Intellectual Property Rights

Platform Ownership: Autonomous Minds retains all rights to the platform’s technology, including its design, features, and algorithms.
License to Use: Autonomous Minds grants you a limited, non-exclusive license to access and use the platform within the agreed terms.
Open-Source and Third-Party Components: The platform may utilize third-party software and open-source components where applicable. Users agree to adhere to all relevant licensing terms.

10. Disclaimers and Limitations of Liability

Accuracy and Reliability: While Milo is designed to operate with high accuracy, users acknowledge that Autonomous Minds does not guarantee absolute accuracy and error-free operation.
Limitations of AI Output: Milo’s output is based on available data inputs and integrations. Autonomous Minds disclaims responsibility for decisions made based on this output.
Liability Cap: Autonomous Minds is not liable for business or financial losses and limits liability to an aggregate amount as stipulated in regional laws.

11. Termination and Suspension

Service Suspension and Termination: Autonomous Minds reserves the right to suspend or terminate accounts due to any Terms violation or misuse of the platform.
User’s Right to Terminate: You may terminate your account at any time, following the steps outlined in your account settings.
Post-Termination Rights: Upon termination, you must cease all use of the platform. Autonomous Minds retains any data provided to improve system functionality and comply with legal obligations.

12. Level of Autonomy

Milo is designed to interact autonomously with internal team members and external stakeholders, such as customers, based on your settings. You are responsible for overseeing Milo’s level of autonomy and ensuring that it complies with your company’s policies on data protection and confidentiality. Sensitive information should be guarded appropriately, as Milo can potentially access and share information within the bounds of permitted integrations and settings.

13. Governing Law and Dispute Resolution

Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of Lithuania.
Dispute Resolution: All disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Lithuania.
